LUIS FELIPE SEPULVEDA PONCE, Notario Público Titular de Valparaíso, calle Prat 863, certifica: por escritura otorgada 18 julio 2023, ante mí, ILSE ALEXANDRA SMITH KUBIERSCHKY, JENNIFER FRANCIS SMITH KUBIERSCHKY, DANIELA PAZ ESCOBAR SMITH, FRANCISCA SOFIA ESCOBAR SMITH, CONSTANZA DIANA ESCOBAR SMITH, ROBERTO ANDRES PERAGALLO SMITH y SEBASTIAN ALEJANDRO PERAGALLO SMITH, todos domiciliados Puchuncaví, Mirador III, Los Pescadores 1855, departamento 442, modificaron sociedad COMERCIAL E INVERSIONES ANTUQUILEN Y COMPAÑIA LIMITADA, constituida 17 diciembre 2003, inscrita actualmente fojas 11 vuelta Nº 14 Registro Comercio Conservador Bienes Raíces Quintero 2011. Fallecimiento de socios. Con fechas 29 marzo 2022 y 7 marzo 2022 fallecieron, respectivamente, socios Peter Norman Smith Beavan e Ilse Armida Kubierschky Heitkamp, ambos bajo imperio de sus testamentos otorgados 14 diciembre 1990, de conformidad con los cuales, totalidad herencia ambos socios corresponde, por partes iguales, a sus hijas y herederas testamentarias, las socias Ilse Alexandra Smith Kubierschky y Jennifer Francis Smith Kubierschky. Posesión efectiva ambas herencias se concedió por Segundo Juzgado Civil Viña del Mar, causa Rol V-190-2022, y se reinscribió fojas 1052 vuelta número 1064 Registro Propiedad Conservador Bienes Raíces Quintero 2023; testamento Peter Norman Smith Beavan se reinscribió fojas 1056 número 1065 y testamento Ilse Armida Kubierschky Heitkamp se reinscribió fojas 1057 vuelta número 1066, ambas mismo Registro, Conservador y año; al margen inscripción posesión efectiva consta aprobación pago impuesto herencia. Inventarios simples ambos causantes se protocolizaron ante Notario Viña del Mar Francisco Fuenzalida Rodríguez 14 septiembre 2022, y en ellos figuran derechos que tenían causantes en la sociedad, 5% capital social cada uno. Teniendo presente lo expuesto, Ilse Alexandra Smith Kubierschky y Jennifer Francis Smith Kubierschky han adquirido, por sucesión por causa de muerte, los derechos de que eran titulares Peter Norman Smith Beavan e Ilse Armida Kubierschky Heitkamp, es decir, 5% cada uno de ellos, y como Ilse Alexandra Smith Kubierschky y Jennifer Francis Smith Kubierschky han heredado por partes iguales, corresponde adquirir a cada una de ellas 2,5% de derechos respecto de cada uno de los causantes, lo que significa que participación social cada una aumenta un 5%. Modificaciones de sociedad. Socios convienen modificar siguientes cláusulas pacto social, que quedarán redactadas siguiente manera: PRIMERO: Ilse Alexandra Smith Kubierschky, Jennifer Francis Smith Kubierchsky, Daniela Paz Escobar Smith, Francisca Sofía Escobar Smith, Constanza Diana Escobar Smith, Roberto Andrés Peragallo Smith y Sebastián Alejandro Peragallo Smith convienen formar sociedad de responsabilidad limitada, que se regirá por la presente escritura y, en lo no estipulado en ella, por Ley 3.918, de 1923, y sus modificaciones, y por demás normas legales pertinentes. SEPTIMO: Capital de sociedad es de $1.714.000.000, que socios aportan y enteran siguiente manera: Ilse Alexandra Smith Kubierschky aporta $599.900.000, que equivalen 35% capital social; Jennifer Francis Smith Kubierschky aporta $685.600.000, que equivalen 40% capital social; Daniela Paz Escobar Smith aporta $85.700.000, que equivalen 5% capital social; Francisca Sofía Escobar Smith aporta $85.700.000, que equivalen 5% capital social; Constanza Diana Escobar Smith aporta $85.700.000, que equivalen 5% capital social; Roberto Andrés Peragallo Smith aporta $85.700.000, que equivalen 5% capital social; y Sebastián Alejandro Peragallo Smith aporta $85.700.000, que equivalen 5% capital social; todos los aportes totalmente pagados anterioridad este acto. Responsabilidad socios queda limitada al monto de sus aportes. DECIMO: En caso fallecimiento de cualesquiera socios, sociedad continuará con la sucesión del fallecido, la que deberá designar, dentro plazo sesenta días contados desde fallecimiento del causante, un representante común que intervendrá por ellos ante sociedad.
