JOAQUIN MUCARQUER PIMENTEL, Abogado Notario Público Suplente de la Titular de Viña del Mar, ELIANA GABRIELA GERVASIO ZAMUDIO, con oficio en esta ciudad, calle Arlegui 537, certifico que por escritura hoy ante mi, JAMES CYRIL WELLS MUÑOZ, c.n.i. 3.444.141-3, por sí y en representación de la sociedad “WELLS Y COMPAÑÍA LIMITADA”, Rut 79.898.750-K; y CLARA BERENICE BENAVIDES SOTO, c.n.i. 5.928.977-2, en representación de la “SOCIEDAD DE INVERSIONES MANANTIAL LIMITADA”, Rut 78.557.790-6; todos domicilio Almirante Señoret, 70, piso 10, of. 101, Valparaíso; modificaron sociedad “INVERSIONES JACARANDA Y COMPAÑÍA LIMITADA”, Rut 76.533.110-2, constituida 20 Abril 2006, Notario Valparaíso María Ester Astorga Lagos, extracto inscrito Fojas 313 vuelta, N° 290, Registro Comercio Valparaíso año 2006, publicado Diario Oficial n° 38.458 de 09 Mayo 2006, siguiente sentido: acuerdan, de forma unánime, modificar parte inicial de ARTÍCULO SEXTO del estatuto social, quedando siguiente manera: “SEXTO: La administración y uso de la razón social corresponderá a JAMES CYRIL WELLS MUÑOZ; a CLARA BENERICE BENAVIDES SOTO y/o a RICARDO ANTONIO GUERRA GODOY, quienes podrán actuar de forma conjunta o separada, indistintamente, sin perjuicio de que puedan delegar total o parcialmente sus facultades en otros socios o en un tercero y de que puedan conferir mandatos generales o especiales…”. En lo restante del artículo sexto, referente a facultades de administradores, se mantiene plenamente el artículo modificado. En todo lo no modificado, sigue vigente pacto social.
